This textbook provide an accessible evaluation and examination of the Saudi Corporate Governance code and its impact on some of the large companies listed on the Saudi Arabian Stock Exchange before and after implementation of Saudi corporate governance code (SCGC) in 2006. The aim being to determine whether the Saudi corporate governance code provides protection to shareholders. In this textbook a basic comparison of the Saudi code with the UK code will be offered to identify similarities and differences between them as well as to find areas of weakness in the Saudi code. The literature review chapter will discuss the principles and historical background to corporate governance, agency theory and various models with regards to shareholders and stakeholders. This will lead to an introduction of the purpose of this textbook relative to the Saudi code. The methodology of this textbook is mixed method where a qualitative and quantitative components, were used to achieve the aim and objectives of study. The findings illustrate that the SCGC is insufficient to protect shareholders, as parts of the code do not make compliance mandatory. It is found less effective than UK's code.
